                          Constitution

                          _1. The Association shall be called “The West of Scotland Women’s Bowling Association”.

                          2. The object of the Association shall be the promoting, conducting and controlling of agreed competitions and matches.

                          MEMBERSHIP 

                          3. The Association shall consist of Bowling Clubs in the West of Scotland.

                          4. Application for admission to the Association shall be made in writing to the Secretary. Clubs approved by Council for membership shall        receive a Certificate to that effect signed by the Honorary Secretary.

                          5. The Association shall have power to elect Honorary Members. An Honorary Member shall be entitled to attend General Meetings of the       Association, but shall have no Vote unless she is a Club representative.

                          SUBSCRIPTION 

                          6. The subscription for the ensuing year shall be fixed at the Annual Meeting and shall be paid within two months thereafter. In the event         of any Club failing to pay the Subscription within the time fixed, such Club shall forfeit all rights and privileges of Membership so long as     its subscription remains unpaid.

                          Clubs wishing to withdraw from Membership must notify the Secretary in writing prior to the Annual General Meeting, otherwise they shall be liable for the ensuing year’s subscription.

                          MEETINGS 

                          7. At any General Meeting of the Association each Club shall be entitled to have two representatives present, only one of whom shall            be allowed to vote and whose name and club should be written on the card provided and handed to a Member of Council prior to entering the meeting. No representative shall act for more than one club.

                          Ten days notice shall be given of all Meetings and fifty members shall form a quorum.

                          8. Any Club which is situated more than twenty miles from the place of the Annual Meeting may appoint as their representative anyone who is a member of a Constituent Club, but such appointment shall only hold for one year. Letter of appointment must be sent to the Honorary Secretary at least twenty-four hours before the time of meeting.

                          ANNUAL GENERAL MEETING 

                          9. The Annual General Meeting shall be held on the third Monday in January at which the Association shall elect a President, Vice President, Honorary Secretary arid Honorary Treasurer who, with fifteen members elected from the various districts, (and the retiring Past President for one year only) shall form the Council of Management.
                          The Members of Council shall be elected for three years with the option to serve up to a further three years (maximum six years). The President or Vice President may be elected from Members of Council or from any who have retired within the three years immediately preceding.
                          The Honorary Secretary and Honorary Treasurer must be Members of Constituent Clubs.

                          SPECIAL GENERAL MEETING 

                          10. Any Club may send a request to the Secretary to call a Special General Meeting of the Association. Such request shall state the nature of the business to be brought     forward, and upon its receipt the Secretary shall lay same before the Members of Council who shall, if they deem the matter of sufficient importance, instruct the Honorary Secretary to call a Special General Meeting. The notice of meeting shall state the business for which it has been called, and no other business shall be transacted at such Special Meeting.

                          ELECTION OF COUNCIL

                          11. Each Club through its Secretary shall be entitled to nominate one representative whose sanction has been given.

                          12. If only one candidate is nominated for a district or districts, that person shall be held duly elected a Member of Council.

                          13. If more that the necessary number of candidates be nominated for any district or districts, the Honorary Secretary shall send a voting paper to each Constituent club concerned, stating the names of the -candidates, such voting papers to be returned to the Honorary Secretary within stated time limit. A club shall only be allowed one vote.

                          14. In the event of a tie, the election shall be determined by a vote of the Council.

                          15. In the event of any district or districts failing to submit a nominee, the Council shall elect a representative who may be chosen from any of the Constituent Clubs in that area.

                          16. The Council shall have power to fill any vacancy or make interim appointments.

                          17. The Council shall have power to appoint Sub Committees as they deem necessary.

                          18. At all meetings the Chairman shall have a deliberative and a casting vote.

                          19. The President and Honorary Secretary shall be ex- officio members of all Committees.

                          20. Seven members shall form a quorum.

                          HONORARY SECRETARY

                          21. The Honorary Secretary shall keep a record of all business transacted at General and Council Meetings. At each Annual General Meeting she shall submit a report of the year’s proceedings.

                          HONORARY TREASURER 

                          22. The Honorary Treasurer shall receive and bank all monies belonging to the Association. Accounts paid by cheque shall be signed by the President and Honorary Secretary and/or Honorary Treasurer.

                          AUDITORS 

                          23. The books and accounts of the Honorary Treasurer shall be audited by two members of Constituent Clubs who are not members of Council. Such Auditors shall be appointed at the Annual General Meeting of the Association. Auditors shall not hold same office with another Association.

                          DISCIPLINARY COMMITTEE 

                          24. If a complaint is received about a member or person which, after investigation, cannot be dealt with by the Executive or Council, it shall be referred to the Disciplinary Committee which shall consist of three independent members.

                          GENERAL

                          25. No alteration of, or addition to, the Constitution and Rules of the Association shall be made except at the Annual General Meeting. Two months notice shall be given in writing to the Honorary Secretary setting forth in full the proposed alteration or addition, which shall be stated in the Notice of Business for the Meeting.

                          WINDING UP 

                          26. If, in the event of the Association being wound up, and after the settlement of all debts and liabilities, there remains any monies, the same shall not be paid to or distributed around Constituent Clubs but shall be donated to charitable organisations. The General Meeting of the Association shall decide which organisation or organisations shall benefit.
